For consideration paid in accordance with the information herein, and upon execution of this agreement, and its return to and acceptance by Small Business Exchange, ltd ("SBE"), it is agreed that SBE will list certain information about the business, person or entity designated herein (the "Listing"), on its Web Site (the "WSL"), on behalf of the Listing Party ("LP"), in accordance with the following information, terms and conditions:

D.  Phone number or E-mail address. ONE OF THE FOLLOWING MUST BE PROVIDED because interested parties must respond directly to the Listing Party..

E. It is understood and agreed that:

1.  SBE has the sole and exclusive right to edit the Listing Information and select what information will be included and will use its best efforts to present information accurately and diligently.

2.  No representation or warranties are being made as to the suitability or appropriateness of the WSL for the purposes or objectives of the LP, and SBE shall have no liability to the LP or the LP's representatives resulting from presenting the Listing or use of the WSL by the LP or the LP’s representatives.

3.  SBE will display the WSL within 5 business days of receipt of this agreement and the Listing information, and confirmation of the receipt of funds for payment.

4.  The LP assumes full responsibility for following up on any and all inquiries with respect to the WSL and, unless expressly governed by another agreement with SBE, SBE is offering no express or implied support services, other than displaying the Listing Information at its Web Site.

5.  The LP takes full responsibility for the accuracy and completeness of the information contained in the WSL about the Listing, for reviewing the WSL and communicating to SBE any inaccuracies in the data in the WSL or changes the LP desires to make, & accepts that SBE displaying such information at its Web Site, currently at www.smallbusinessexchange.com, is sufficient notice of such information to the LP for the purposes of SBE communicating and satisfying its responsibility with respect to this agreement.

6.  This Agreement shall be construed in accordance with and governed by the Laws of the Commonwealth of Massachusetts.
